SmartaStudio will undertake work based on an agreement provided via email, telephone, or written communication. An “order” is deemed to be a binding agreement between SmartaStudio and the client, including verbal and written approvals.
It is your responsibility to ensure all project details, including design breakdowns, quotes, and these Terms and Conditions, are understood and agreed upon before commencing work.
Timeframes for project completion are agreed upon before commencement and vary depending on the project scale (typically 1–6 months). SmartaStudio will make every effort to meet agreed timelines; however, delays due to the client’s actions, such as late approvals or content submissions, will not extend payment deadlines.
For quality assurance, sufficient time must be allowed to complete the project.
Clients are required to provide all necessary content (text, images, videos, etc.) within the agreed timeframe. Delays caused by the client’s failure to supply content may result in:
Content must be provided in editable digital formats (e.g., Microsoft Word for text and .jpeg/.png for images). SEO-specific projects require advance submission of all content.
If delays extend beyond one week from project commencement, SmartaStudio reserves the right to pause or terminate the project.
The website design, graphics, and programming remain the property of SmartaStudio until all outstanding payments are cleared. Use of any assets without full payment violates these Terms.
Unless explicitly agreed in writing, all code, scripts, and systems remain the intellectual property of SmartaStudio and may not be reused or resold without permission.
Clients must ensure that materials provided do not breach copyright laws. SmartaStudio will not be held liable for any copyright infringement arising from client-provided content.
Payment Stages
Final payments must be made before the website goes live or files are transferred to the client.
Late Payments
Invoices must be paid within seven (7) days unless otherwise agreed. Accounts unpaid for over:
Failure to settle accounts within 30 days will result in service suspension, removal of hosted files, and potential legal action to recover outstanding amounts, including collection costs and solicitor fees.
SmartaStudio may purchase domain names, website hosting, or other subscription services on behalf of the Client. Payment and renewal of these services are the Client’s responsibility. SmartaStudio accepts no liability for the loss, cancellation, or interruption of these services due to non-payment or late payment by the Client.
Invoices for hosting and subscription services are due within seven (7) days of issuance.
Clients are encouraged to maintain records of payment due dates to ensure continuity of services. SmartaStudio will not be liable for any losses caused by the suspension of hosting services due to late payments.
Requests for changes after project approval will incur additional charges. Any extra work outside the agreed project scope will be treated as a new project.
Clients are responsible for reimbursing costs for required resources (e.g., stock images, plugins).
SmartaStudio ensures compatibility with major browsers at the time of development but is not liable for display issues arising from future browser updates. Post-completion edits by third parties may void warranties or guarantees.
Cancellation requests must be submitted in writing. SmartaStudio reserves the right to invoice for all completed work up to the date of termination. No refunds will be issued for completed work.
Additional fees may apply for transferring hosting, domain names, or other services upon termination.

If any provision of these Terms is found invalid or unenforceable, the remaining terms will remain in effect.
These Terms and Conditions are governed by English law.
By agreeing to these Terms and Conditions, you confirm your understanding of and compliance with our policies. Failure to comply may result in service suspension, additional fees, or legal action.
